Deadline: the later of two dates

Assuming the addendum is effective June 24, 2026, the 60-calendar-day date is . The stated deadline is the later of that calculated date or the end of Round Two. The Company must provide 60 days' notice of the anticipated end of Round Two, and a fully executed addendum controls if its effective date differs.

Approval and investor qualification

Any introduced investor remains subject to Company approval, which the addendum states shall not be unreasonably withheld, applicable investor-qualification requirements, suitability review, and completion of definitive documentation reviewed by counsel.
