Non-Circumvention Non-Disclosure Agreement

Please review the NCNDA carefully. By proceeding, you agree to all terms set forth below.

1. PARTIES AND RECITALS

This Non-Circumvention Non-Disclosure Agreement ("Agreement") is entered into between Lok-N-Blok Systems LLC, a Florida limited liability company (the "Company"), and the undersigned (the "Recipient"), effective as of the date of electronic execution.

2. DEFINITION OF CONFIDENTIAL INFORMATION

"Confidential Information" includes all non-public information disclosed by the Company, including but not limited to: financial statements, projections, business plans, intellectual property, patents, trade secrets (including the proprietary ENVION composite formulation), customer lists, supplier relationships, pricing, manufacturing processes, capital structure, investor identities, strategic plans, and any other information of a confidential nature disclosed in this data room or in connection with any evaluation of a potential business relationship.

3. OBLIGATIONS OF RECIPIENT

Recipient agrees to (a) hold all Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party without the prior written consent of the Company; (c) use Confidential Information solely for the purpose of evaluating a potential investment or business relationship; (d) protect Confidential Information with at least the same degree of care used to protect Recipient's own confidential information, but in no case less than reasonable care; (e) not copy, reproduce, photograph, screenshot, screen-record, or otherwise duplicate any Confidential Information without express written consent.

4. NON-CIRCUMVENTION

Recipient agrees not to circumvent, bypass, or attempt to circumvent the Company by directly or indirectly contacting, contracting with, engaging, or doing business with any customer, supplier, investor, partner, or other contact introduced through this data room or related communications, for a period of twenty-four (24) months following the date of this Agreement, without the express written consent of the Company.

5. TERM AND SURVIVAL

This Agreement shall remain in effect for a period of five (5) years with respect to general confidential information, and indefinitely with respect to trade secrets (including the ENVION formulation and manufacturing processes), or until the Confidential Information enters the public domain through no fault of the Recipient.

6. REMEDIES

Recipient acknowledges that any breach of this Agreement would cause irreparable harm for which monetary damages would be inadequate. The Company shall be entitled to seek injunctive relief, specific performance, and all other equitable remedies, in addition to monetary damages, reasonable attorneys' fees, and costs. Recipient further agrees that any breach may subject Recipient to liquidated damages of not less than $250,000 per incident.

7. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of laws principles. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida. Pursuant to Florida Statute Β§542.335, the parties acknowledge the legitimate business interests protected herein, including trade secrets, valuable confidential information, and substantial relationships with specific prospective and existing customers, investors, and partners.

8. TRADE SECRETS NOTICE

Pursuant to 18 U.S.C. Β§1833(b), Recipient is hereby notified: An individual shall not be held criminally or civilly liable under any federal or state trade secret law for the disclosure of a trade secret that is made in confidence to a government official or attorney for the sole purpose of reporting or investigating a suspected violation of law.

9. ACKNOWLEDGMENT OF MONITORING

Recipient acknowledges that all access to the data room is logged and monitored, including but not limited to: IP address, session duration, documents viewed, time spent per document, and navigation patterns. All displayed materials are digitally watermarked with Recipient's identifying information. This audit trail may be used as evidence in the enforcement of this Agreement.

10. ELECTRONIC SIGNATURE

Recipient agrees that electronic signature pursuant to Florida Statute Β§668.50 (Uniform Electronic Transaction Act) constitutes a legally binding signature equivalent to a handwritten signature. By completing the signature step that follows, Recipient agrees to all terms of this Agreement.
